1. Introduction
This Data Processing Agreement (“DPA”) forms part of the Terms of Service between AudienceBase, operated by Digital Shoutouts Media (“Processor”, “we”, “our”, “us”), and the client (“Controller”, “you”).
This DPA governs how we process personal data on your behalf when you use our platform.
This agreement is designed to comply with GDPR (General Data Protection Regulation) and other applicable data protection laws.
2. Roles & Definitions
Data Controller
You (the client) determine:
- What data is collected
- Purpose of processing
- How data is used
Data Processor
AudienceBase processes data:
- On your instructions
- For campaign execution and optimization
3. Scope of Processing
We process personal data only to:
- Deliver programmatic advertising services
- Perform audience targeting and segmentation
- Optimize campaigns using AI and machine learning
- Provide analytics and reporting
4. Types of Data Processed
Depending on usage, we may process:
A. Identifiers
- Cookie IDs
- Device IDs
- IP addresses
B. Behavioral Data
- Clicks
- Impressions
- Browsing activity
- Engagement signals
C. Audience Data
- Interest categories
- Segmented audiences
- Campaign performance data

5. Processing Instructions
We process personal data:
- Only on documented instructions from the Controller
- As required to deliver platform services
- In compliance with applicable laws

We implement appropriate technical and organizational measures:

- Secure cloud infrastructure
- Access control and authentication
Operational Safeguards
- Role-based access
- Monitoring and logging

7. Sub-Processors
We may engage third-party sub-processors to support our services, such as:
- Cloud hosting providers
- Analytics services
- Infrastructure vendors
We ensure:
- Sub-processors comply with GDPR
- Data protection obligations are contractually enforced
A list of sub-processors can be provided upon request.
8. International Data Transfers
Data may be processed outside your country, including outside the EU.
We ensure safeguards such as:
- Standard Contractual Clauses (SCCs)
- Adequate data protection frameworks
9. Data Subject Rights
We assist Controllers in responding to requests from data subjects, including:
- Access
- Rectification
- Erasure
- Restriction of processing
- Data portability
10. Data Breach Notification
In the event of a data breach, we will:
- Notify you without undue delay
- Provide relevant details
- Support mitigation efforts
11. Data Retention & Deletion
We retain data only as long as necessary to:
- Provide services
- Meet legal obligations
Upon termination:
- Data will be deleted or anonymized
- Backup retention may apply for a limited period
12. Audit & Compliance
You may request information to verify compliance.
We may provide:
- Security documentation
- Compliance certifications (if available)
Audits must:
- Be reasonable
- Not disrupt operations
- Be subject to confidentiality
13. Confidentiality
All data processed under this agreement is treated as confidential.
Our personnel are:
- Bound by confidentiality obligations

14. Liability
Each party is responsible for:
- Compliance with applicable laws
- Their respective roles (Controller vs Processor)
AudienceBase shall not be liable for:
- Improper data collection by the Controller
- Unlawful campaign configurations
15. Term & Termination
This DPA remains in effect as long as data processing occurs.
Upon termination:
- Processing activities cease
- Data is deleted or returned as requested
16. Governing Law
This DPA is governed by the laws of India.

By using AudienceBase services, you acknowledge and agree to this Data Processing Agreement.
